Legal Program Manager

Institutional Clients Group (ICG) includes _Banking_ and _Markets and securities services_ . ICG provides corporate, institutional, public sector and high-net-worth clients around the world with a full range of wholesale banking products and services, including fixed income and equity sales and trading, foreign exchange, prime brokerage, derivative services, equity and fixed income research, corporate lending, investment banking and advisory services, private banking, cash management, trade finance and securities services. ICG transacts with clients in both cash instruments and derivatives, including fixed income, foreign currency, equity and commodity products.

+ Provide support to Corporate Secretary responsible for the governance of over one hundred of Citis legal entities, including drafting board and shareholder resolutions and consents; preparing and filing documents relating to governance actions, including formations, mergers, liquidations and dissolutions; maintaining minute books; and obtaining official filings. Also provide support to lawyers and business desks, including drafting incumbency certificates, powers of attorney and KYC certificates; obtain apostilles and legalizations as needed.

+ Respond to internal requests related to restructuring ownership of entities.

+ Research and respond to internal and external requests for governance information and documents.

+ Maintain and update information in Citis legal entity database; election and resignation dates, annual board and shareholder meeting dates; qualifications, registered agents and registered addresses.

+ Perform legal research on corporate governance issues.


+ The ideal candidate will have a Paralegal Certificate and a college degree with a minimum of 3 years experience in a law firm or a corporations governance unit performing the duties outlined in the Job Description.

+ Must be a detail-oriented, organized and energetic team player with a positive demeanor; able to work independently with limited instruction; excellent written and verbal communication skills; the ability to multi-task and prioritize a demanding workload; and comfortable in a high-pressure working environment.

+ Good understanding of corporate legal structures and organizations.

+ Able to handle confidential information and matters with discretion.

+ Willingness to take on new tasks and to develop new skills.

+ Able to work overtime when needed.

+ Able to interact with all levels of management in a professional and positive manner.

+ Proficiency in MS Office (Word, Excel and PowerPoint) required, and the ability to quickly learn other computer applications.

+ Notary Public preferred.
